1. Introduction - Welcome to Sarasniyam. These terms and conditions outline the rules and regulations for using our services. By accessing or using our services, you agree to comply with these terms. If you disagree with any part of the terms, please discontinue use.
"Company" refers to Sarasniyam, including all its subsidiaries, affiliates, and employees.
"Client" refers to the individual or entity using the Company’s services.
"Services" refer to the IT consultancy, software development, cloud services, and other solutions provided by the Company.
3. Services Provided - The Company provides IT consultancy and related services as agreed upon in the service agreement or proposal. Any additional services requested will require a separate agreement.
4. Payment Terms - All invoices are due within 15 days of receipt unless otherwise stated in the contract. Late payments may incur interest at a rate of 6% per month. The Client agrees to bear all costs associated with payment, including bank transfer fees.
5. Confidentiality - Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. The obligation of confidentiality will survive the termination of the agreement.
6. Intellectual Property - Any software, code, or intellectual property developed by the Company remains its property until full payment is received. Upon payment, the Company grants the Client a non-exclusive, perpetual license to use the deliverables for their intended purpose.
7. Limitation of Liability - The Company is not liable for any indirect, incidental, or consequential damages arising from the use of its services. The Company’s total liability under this agreement will not exceed the amount paid by the Client for the services in question.
8. Termination - Either party may terminate the agreement within 45 days written notice. The Company may terminate the agreement immediately in case of non-payment or breach of terms by the Client.
9. Amendments - The Company reserves the right to update these terms and conditions at any time. Clients will be notified of significant changes.
10. Force Majeure - The Company is not responsible for delays or failure to perform due to events beyond its reasonable control, including natural disasters, acts of war, or government actions.
